Terms of use and merchant agreement
1. Purpose and acceptance
These terms govern access to the innovae.io website, the use of the Innovae software, and the sale by INNOVAE SASU of the products of merchants who use payment. INNOVAE SASU is a French single-shareholder simplified joint-stock company registered under number 131 776 148 R.C.S. Paris, with its registered office at 47 rue Vivienne, 75002 Paris, France.
They have two parts. The first, the terms of use, applies to every Merchant. The second, the merchant agreement, applies as soon as the Merchant switches on payment. Using the website or the software means accepting these terms. Special conditions signed with the Merchant may supplement them; where they conflict, the special conditions prevail.
2. Definitions
“Software” means the Innovae business management application: customer records, order pipeline, shipment tracking, inbox, reminders, notes, dashboard, and payment page. “Merchant” means the business that opens an Innovae workspace. “Buyer” means the person who buys a Merchant’s product on an Innovae payment page. “Sale” means an order collected by Innovae. “Net Proceeds” means the price paid by the Buyer, less the VAT collected by Innovae, the commission, refunds, and disputes. “Payout” means the transfer of Net Proceeds to the Merchant. “Merchant Data” means the information the Merchant enters or imports into the Software.
Part one: terms of use of the Software
Articles 3 to 8 apply to all Merchants, whether or not they use payment.
3. Access and account
The Software is intended for businesses acting in the course of their trade, not for consumers. The Merchant provides accurate information, keeps its credentials confidential, assigns access to its team, and is responsible for any use made under its workspace. It reports any unauthorized access without delay.
4. The Software
Innovae provides management software accessible online. The Merchant uses it to follow its customers, orders, shipments, and conversations. Innovae may change the Software; a change that substantially reduces the service is announced at least thirty days in advance.
5. Subscription and prices
The Software is provided by monthly subscription, at the price shown on the Pricing page for the Start plan and at the price agreed in writing for the other plans, in euros excluding tax, payable in advance. If an invoice remains unpaid fifteen days after a reminder, Innovae may suspend access until it is settled. Any price change is notified at least thirty days before it applies; the Merchant may cancel before that date.
6. Term and cancellation of the subscription
The subscription has no minimum term. The Merchant cancels at any time from its workspace or by email, effective at the end of the current month. Months already billed are not refunded, except in the cases set out in the Refund and cancellation policy. After cancellation, the Merchant has thirty days to export its data.
7. Merchant Data
The Merchant remains the owner of its data. It grants Innovae the right to host and process it to the extent needed to provide the Software. It may export it at any time.
For Buyer data relating to Sales, Innovae acts as data controller, in its capacity as seller. For other personal data recorded by the Merchant, Innovae acts as a processor within the meaning of the GDPR, on the Merchant’s instructions, under the Privacy policy.
8. Availability and support
Innovae provides the Software with the care expected of a professional, on a best-efforts basis, without guaranteeing uninterrupted availability. Maintenance may take place. Support is provided by email, with priority depending on the plan.
Part two: merchant agreement
Articles 9 to 18 apply to a Merchant who switches on payment. Together with the special conditions, they form the merchant agreement.
INNOVAE SASU publishes business management software and sells, in its own name and on behalf of the merchants who use it, the products offered in their stores. Payments are processed by Stripe. Innovae is the seller of record for every order: it invoices the buyer, collects the applicable VAT, and pays merchants out under the contract between them.
9. Mandate to sell
The Merchant appoints Innovae, which accepts, to sell in its own name and on behalf of the Merchant, as commission agent, the products the Merchant offers its customers from the Software. Innovae is the seller of record for every Sale: it concludes the sale with the Buyer under its Terms of sale, issues the invoice, and collects the applicable VAT.
The Merchant chooses its products, their descriptions, and their prices, in keeping with the Acceptable use policy. It remains the owner of the products until they are sold and is responsible for preparing and shipping them.
10. Merchant verification and admission
Before the first Sale, Innovae verifies the Merchant’s identity and registration, its legal representative, its business, its products, its delivery and return conditions, and its bank details. Innovae may ask for supporting documents, refuse a Merchant or a product, and repeat this verification at any time. The Merchant keeps this information up to date.
11. Payment
Payments are processed by Stripe, Innovae’s payment provider. The payment page is in Innovae’s name and carries the words “Sold by Innovae on behalf of”, followed by the Merchant’s name. The descriptor on the Buyer’s bank statement is “INNOVAE*” followed by the Merchant’s name. The card fields are provided by Stripe: Innovae neither receives nor stores card numbers.
12. Commission
As remuneration for the mandate, Innovae keeps on each Sale the commission shown on the Pricing page, payment fees included. It is deducted from the price collected and appears on every Payout statement.
13. Payouts and timing
Innovae pays Net Proceeds by transfer to the Merchant’s business bank account, on the schedule set in the special conditions. Recent Sales are paid out after a security hold, set in the same conditions, which covers delivery time and first claims. Each Payout comes with a statement detailing the Sales, the commission, refunds, and disputes.
14. Guarantee reserve
Innovae may withhold a fraction of Payouts to cover future refunds, payment disputes, and penalties. The rate and duration of this reserve are set in the special conditions or notified to the Merchant. They may be raised if disputes increase or the business changes. The reserve is released when it falls due, less any amounts charged against it.
15. Merchant obligations
The Merchant is responsible for the compliance of its products with applicable laws and standards, for the accuracy of their descriptions, and for the lawfulness of their sale. It ships each order within the time announced to the Buyer, enters the tracking number in the Software, and handles returns. It informs Innovae without delay of any stock, delivery, or compliance problem.
16. Refunds, withdrawal, and disputes
Innovae handles Buyer requests under its Terms of sale: withdrawal, non-receipt, non-conformity, legal guarantees. It decides on the refund after hearing the Merchant, except in urgent cases.
At Innovae’s request, the Merchant provides the relevant evidence within five business days: proof of shipment and delivery, exchanges with the Buyer, description of the product sold. Failing that, Innovae may refund the Buyer or lose the dispute without further notice. Amounts refunded, disputes lost, and related fees are deducted from Payouts or from the guarantee reserve, or invoiced to the Merchant if these are not enough.
17. Suspension of a Merchant
Innovae may suspend a Merchant’s Sales, defer its Payouts up to the risk identified, or suspend its workspace in the event of a breach of these terms or of the Acceptable use policy, suspected fraud, an abnormal dispute rate, repeated failure to deliver, or at the request of Stripe or an authority. The Merchant is informed in writing, unless the law forbids it, and may submit its observations.
18. End of the merchant agreement
Either party may end the merchant agreement in writing, effective at the end of the current month. Sales already concluded are carried through. Amounts owed to the Merchant are paid out once the security hold and the reserve period have ended, less any refunds and disputes in progress.
Common provisions
Articles 19 to 26 apply to both parts of these terms.
19. Acceptable use
The Merchant uses the Software lawfully and in keeping with the Acceptable use policy, which lists the products and activities that are refused. Innovae checks compliance with this policy.
20. Intellectual property
The Software, the website, their code, their documentation, and the Innovae brand belong to INNOVAE SASU. The Merchant receives a personal, non-exclusive, non-transferable right of use for the duration of its subscription. It authorizes Innovae to reproduce the name, logo, and images of its products for the purposes of the sale. Any copying, decompiling, resale, or derivative work based on the Software is forbidden without written consent.
21. Confidentiality
Each party keeps the other’s non-public information confidential and uses it only to perform these terms. This obligation survives for three years after the relationship ends.
22. Liability
Innovae answers to Buyers for its obligations as seller. Between the parties, Innovae is not liable for services provided by third parties, including Stripe and carriers, or for indirect damage, loss of revenue, data, or customers, within the limits allowed by law. Innovae’s total liability to the Merchant is capped at the amounts kept by or invoiced by Innovae to the Merchant in the twelve months before the event giving rise to the claim.
23. Merchant indemnity
The Merchant indemnifies Innovae against any claim, judgment, or penalty resulting from its products, their description, their delivery, a breach of these terms or of the Acceptable use policy, or a violation of the law or of a third party’s rights. This indemnity covers the amounts Innovae has to refund or pay a Buyer as a result.
24. Governing law and disputes
These terms are governed by French law. The parties first seek an amicable solution in writing for thirty days. Failing that, any dispute between businesses falls within the exclusive jurisdiction of the Tribunal des activités économiques de Paris, subject to mandatory legal provisions.
25. General provisions
These terms, the special conditions, the Terms of sale, the Privacy policy, the Cookie policy, the Acceptable use policy, and the Refund and cancellation policy form the entire agreement. If a clause is held invalid, the others remain. Any substantial change is notified thirty days before it takes effect.
